Terms & Conditions

These Terms and Conditions ("Terms") form a binding agreement between you ("you", "Investor", or "User") and The Kyoga Marina Development Group ("The Kyoga Marina", "we", "us", or "our") governing your access to and use of the thekyogamarina.com website, platform, and related services (collectively, the "Services").

By accessing the Services, submitting an inquiry, registering interest, reserving a property, or otherwise engaging with The Kyoga Marina, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must refrain from using the Services.

"The Kyoga Marina" refers to The Kyoga Marina Development Group and its affiliated entities.

"Property" refers to any residential, commercial, or mixed-use unit offered within the development.

"Reservation" refers to the provisional holding of a Property subject to payment of a reservation deposit.

"Purchase Agreement" refers to the binding contract executed between an Investor and The Kyoga Marina for the acquisition of a Property.

"Development" refers to the master-planned smart city project comprising multiple districts and asset classes.

All property descriptions, dimensions, floor areas, renderings, pricing, completion dates, and projected returns are provided in good faith and are subject to change without prior notice. Renderings and artist impressions are illustrative and do not constitute a binding representation of the final product.

A Reservation secures a Property for a limited period and is subject to payment of the applicable reservation deposit. A Reservation is non-binding on The Kyoga Marina until a Purchase Agreement is executed and the required deposit is received and cleared through the appointed escrow account.

Property purchases are governed by a separate Purchase Agreement, which takes precedence over any general information presented on the Services in the event of any inconsistency.

All payments must be made in the currency and to the escrow account specified in the Purchase Agreement. Payment schedules, milestone-linked installments, and financing arrangements are set out in the Purchase Agreement and must be adhered to strictly. Failure to meet payment milestones may result in late fees, suspension of the Reservation, or termination of the Purchase Agreement.

Estimated completion and handover dates are provided as guidance only and may be affected by factors including, without limitation, weather, supply chain, regulatory approvals, and force majeure events.

The Kyoga Marina shall not be liable for delays in completion caused by circumstances beyond its reasonable control. In the event of a material delay, affected Investors will be notified in writing with revised timelines where reasonably practicable.

Ownership of a Property transfers to the Investor upon full payment of the purchase price and applicable fees, completion of the handover process, and registration of title in accordance with the laws of the governing jurisdiction.

All registration, transfer, and associated governmental fees are the responsibility of the Investor unless otherwise stated in the Purchase Agreement. The Kyoga Marina reserves the right to impose restrictions on the onward resale or assignment of a Property prior to first handover.

Investors are responsible for conducting their own due diligence, obtaining independent legal and financial advice, and ensuring compliance with all applicable laws, including taxation, foreign ownership, and anti-money-laundering requirements in their jurisdiction of residence and the governing jurisdiction of the Development.

Projected rental yields, return on investment figures, and capital appreciation estimates are forecasts only and do not constitute a guarantee of future performance.

Ownership of a Property within the Development is subject to ongoing service charges, community management fees, and utility charges as detailed in the Purchase Agreement and the community handbook. These charges are reviewed periodically and may be adjusted to reflect operational costs.

Investors are solely responsible for any taxes arising from the ownership, rental, or sale of a Property, including income tax, capital gains tax, and transfer taxes.

Where you are provided with access to a secure investor portal or account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or security breach.

You agree not to misuse the Services, attempt to gain unauthorized access to any part of the platform, or use the Services for any unlawful, fraudulent, or prohibited purpose.

All content on the Services, including branding, imagery, plans, designs, text, and marketing materials, is the property of The Kyoga Marina or its licensors and is protected by intellectual property laws. No content may be reproduced, distributed, or used for commercial purposes without our prior written consent.

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Services, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.

The Services and all information provided are offered on an "as is" basis. To the fullest extent permitted by law, The Kyoga Marina excludes all warranties, conditions, and representations regarding the Services, including the accuracy of pricing and availability information.

The Kyoga Marina shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Services. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold The Kyoga Marina harmless from any claims, losses, damages, or expenses arising from your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party rights.

These Terms are governed by the laws of the jurisdiction in which the Development is registered, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If unresolved, the dispute shall be referred to confidential arbitration in accordance with the rules of the governing jurisdiction.

The Kyoga Marina reserves the right to update or amend these Terms at any time. Updated Terms will be posted on this page with a revised "last updated" date. Your continued use of the Services following any change constitutes acceptance of the revised Terms.
